Directly reporting to the Chief Legal Officer, your main tasks will be focused around Corporate law and will also include some responsibilities in Employment law as follows:

What you'll be doing?

Corporate:

Handle the Company corporate transactions including funding, M\&A, investment, and other strategic operations in a substantive fashion (e.g., structuring corporate documentation, due diligence participation, negotiation of investment agreements, post-closing formalities).

Handle corporate secretary for the French entity and its 8 worldwide subsidiaries and ensure compliance with local corporate law.

Manage our ESOP plans distributed to our collaborators worldwide and associated formalities

Assist in developing and executing legal strategy regarding group structuration and setting up new entities around the world.

Provide corporate advices to the different stakeholders of the company

Employment:

Assist the People Team in secure the employment operations of Swapcard France and its subsidiaries

Develop template employment agreements, company policies and documentation for each entity in collaboration with the People and Culture team

Assist during administrative inspection and employee’s termination

Provide employment law advice and opinion to the different stakeholders of the company

Your Profile

French legal education mandatory

Master 2 in Business law - double major in business school/political science/LLM is a plus

Admitted to practice law in France (CAPA)

3 to 5 years of experience (post graduation) in corporate law

An experience in employment law is not mandatory but is a plus

Bonus - You are familiar with start up clients

Excellent communication and drafting skills

English and French full written/oral proficiency

Softskills

Rattaché(e) à notre Chief Legal Officer, vos principales missions seront avant tout centrées sur le droit des sociétés mais couvriront également le droit social:

Droit des sociétés:

Gestion des diverses opĂ©rations corporate de l’entreprise telles que levĂ©es de fonds, opĂ©rations de M\&A, investissements et autres opĂ©rations stratĂ©giques (structuration de la documentation juridique, participation aux due diligences, rĂ©daction des contrats corporate, formalitĂ©s post-clĂŽture).

Gestion du secrĂ©tariat juridique pour l'entitĂ© française ainsi que pour nos huit filiales internationales dont vous aurez la responsabilitĂ© d’assurer la conformitĂ© avec le droit local.

Management de nos dispositifs d’actionnariat des collaborateurs (BSPCE, BSA, options) et des formalitĂ©s associĂ©es.

Contribution à l'élaboration et à l'exécution de la stratégie corporate du groupe et de la mise en place de nouvelles entités internationales.

Conseils juridiques en matiÚre de droit des société

Droit social:

Assister l’équipe People dans la mise en oeuvre des obligations employeurs de Swapcard en France et au sein de ses filiales

RĂ©diger des modĂšles de contrats de travail, des politiques et autres documentation sociale pour chaque entitĂ© en collaboration avec l’équipe People

Fournir une assistance juridique lors d’inspection administration ou lors de procĂ©dure de fin de contrat

Conseils juridiques en matiĂšre de droit social

Votre profil

Master 2 en droit des affaires ou équivalent - double diplÎme en école de commerce/science politique/LLM est un plus.

Certificat d’Aptitude à la Profession d’Avocat (CAPA).

Entre 3 et 5 d'expérience (post-CAPA) en droit des sociétés.

Une expĂ©rience en droit social est apprĂ©ciĂ©e mais n’est pas un prĂ©-requis

Bonus - Vous ĂȘtes familier du monde des start-up

Français et anglais juridique professionnel requis (niveau C1 minimum)

Excellentes compétences en communication et rédactionnelles.

Proactif(ve) et autonome

Rigoureux(se) et attentif(ve) aux détails.
